1. Agreement to Terms

By accessing or using Ferpz (the "Service"), available at ferpz.com and dash.ferpz.com, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

Ferpz is an AI-powered finance management platform designed for freelancers, solo founders, and small teams. The Service provides:

• Income and expense tracking
• Invoice creation and management
• Subscription tracking
• Tax deadline reminders and calculations
• AI-powered financial chat assistant (AI CFO)
• Receipt scanning via OCR
• Financial reports and analytics
• Multi-country tax compliance information

The Service is provided "as is" and we may modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Account Registration

To use certain features of the Service, you must register for an account.

When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

4. Subscription and Billing

4.1 Plans and Pricing

Ferpz offers various subscription plans with different features and usage limits. Current pricing is available at ferpz.com/pricing. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Billing

• Subscriptions are billed in advance on a monthly or yearly basis
• Payment is processed securely through our payment partner (Polar)
• You authorize us to charge your payment method for recurring fees
• Failed payments may result in service suspension

4.3 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months or unused portions of plans
• We may offer refunds at our discretion for exceptional circumstances

4.4 Free Plan

The free tier has usage limits. If you exceed these limits, certain features will be restricted until the next billing cycle or until you upgrade to a paid plan.

5. User Responsibilities

You are responsible for:

• All data you enter into the Service
• The accuracy of your financial records
• Complying with all applicable laws and regulations
• Making your own financial and tax decisions
• Verifying all information before acting on it, especially AI-generated content
• Maintaining backups of your important data
• Reporting bugs or security issues to us promptly

6. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or extract data without permission

• Use the Service to send spam or unsolicited communications
• Circumvent usage limits or billing systems
• Resell, sublicense, or provide the Service to third parties without authorization
• Use the Service to launder money or commit fraud

Violation of these prohibitions may result in immediate termination of your account without refund.

You retain ownership of all data and content you submit to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service to you.

We do not claim ownership of Your Content and will not sell or share it with third parties except as described in our Privacy Policy.

8. AI-Generated Content

You acknowledge that:

• AI responses are provided for informational purposes only
• AI may make errors or provide incomplete information
• You should always verify AI-generated content before taking action
• AI responses do not constitute professional advice
• We are not liable for actions taken based on AI outputs

9. Financial Advice Disclaimer

By using Ferpz, you understand and agree that:

• The Service does not provide personalized financial, investment, legal, or tax advice
• Financial insights and recommendations are general in nature and may not apply to your situation
• You should always consult with qualified professionals (accountants, financial advisors, lawyers) before making financial decisions
• We do not guarantee the accuracy of financial calculations or projections
• You are solely responsible for your financial decisions and their consequences

10. Tax Compliance Disclaimer

You acknowledge that:

• Tax deadlines shown are reminders based on general rules and may not reflect your specific obligations
• Tax calculations are estimates and should be verified with tax authorities or professionals
• We do not guarantee compliance with any tax jurisdiction's requirements
• Tax laws change frequently; our information may not reflect the latest changes
• You are solely responsible for accurate and timely tax filings
• We are not liable for penalties, fines, or other consequences of missed deadlines or inaccurate filings

11. Limitation of Liability

To the maximum extent permitted by applicable law, Ferpz and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from your use or inability to use the Service
• Damages resulting from unauthorized access to your account or data
• Damages resulting from reliance on AI-generated content or financial information
• Any tax penalties, fines, or other consequences of your tax filings

In no event shall our total liability exceed the amount you have paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us at support@ferpz.com. Upon termination:

• Your access to the Service will be disabled
• Your data will be retained for 30 days, then permanently deleted
• You may request a data export before termination
• No refunds will be provided for unused portions of paid plans

12.2 By Us

We may terminate or suspend your account immediately, without notice, if:

• You violate these Terms
• You engage in prohibited uses
• We are required to do so by law
• We discontinue the Service

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to your jurisdiction, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or the courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Sending an email notification to registered users
• Displaying a prominent notice in the application

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service and may request account termination.
